1. Agreement to Terms

By accessing or using ClickSense ("Service", "Platform", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Account Terms

2.1 Account Creation

• You must be at least 18 years old to use this Service
• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account and password
• You are responsible for all activities that occur under your account
• You may not use the Service for any illegal or unauthorized purpose

2.2 Account Security

You agree to:

• Keep your password confidential and secure
• Notify us immediately of any unauthorized access
• Not share your account with others
• Log out at the end of each session on shared computers

3. Service Description

ClickSense provides a PPC (Pay-Per-Click) campaign reporting and management platform that allows you to:

• Manage client information and campaigns
• Upload and process CSV files containing campaign data
• Generate and view performance reports
• Track key metrics including impressions, clicks, costs, and conversions
• Monitor CPA (Cost Per Acquisition) and ROAS (Return on Ad Spend)

4. Subscription and Billing

4.1 Plans and Pricing

We offer the PRO plan at £49.99 per month, which includes:

• Up to 30 clients
• Unlimited reports
• CSV upload functionality
• Full access to all features

4.2 Payment Terms

• Subscriptions are billed monthly in advance
• All fees are in GBP (£) unless otherwise stated
• Payments are processed securely through Stripe
• You authorize us to charge your payment method on a recurring basis

4.3 Cancellation and Refunds

• You may cancel your subscription at any time from your account settings
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial months
• You will retain access until the end of your paid period
• All data will be retained for 30 days after cancellation

5. Usage Limits and Restrictions

5.1 Service Limits

• PRO plan: Maximum 30 clients
• File uploads: Maximum 10MB per CSV file
• Reports: Unlimited report generation

5.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful files
• Scrape or use automated tools to access the Service
• Resell or redistribute the Service without permission
• Impersonate another person or entity
• Share your account credentials with others

6. User Content and Data

6.1 Your Content

You retain all rights to the data and content you upload to the Service ("Your Content"). By uploading content, you grant us a license to:

• Store and process your content to provide the Service
• Display your content back to you in reports and dashboards
• Make backups of your content for service reliability

6.2 Content Responsibility

You are responsible for:

• The accuracy and legality of content you upload
• Ensuring you have rights to upload and share the data
• Complying with applicable data protection laws (GDPR, etc.)
• Maintaining backups of your important data

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ClickSense and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.

8. Service Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. We may experience:

• Scheduled maintenance (with advance notice when possible)
• Unexpected downtime due to technical issues
• Service interruptions from third-party providers

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuance of the Service.

9. Disclaimers and Limitations

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, completeness, or reliability of content
• Error-free or uninterrupted operation

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLICKSENSE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from use or inability to use the Service
• Any amount exceeding the fees paid by you in the past 12 months

10. Indemnification

You agree to indemnify, defend, and hold harmless ClickSense and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share through the Service

11. Termination

11.1 By You

You may terminate your account at any time through your account settings. Upon termination:

• Your access will end at the conclusion of your billing period
• Your data will be retained for 30 days
• After 30 days, all data will be permanently deleted

11.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Create security or liability risks

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in London, England, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Updating the "Last updated" date
• Sending email notifications for significant changes
